Terms of Service
Effective October 14, 2026
These terms are an agreement between you and YOUGO MOVING LLC ("we", "us"), which operates FreightBrain. They apply when you create an account or use FreightBrain. If you're agreeing on behalf of a company, you're confirming you may bind it, and "you" means that company.
The short version. FreightBrain makes phone calls to freight brokers on your behalf and writes down what they say. You're responsible for the calls you launch and for checking the details before you book anything. We bill a monthly subscription plus what the calls actually cost us. You can cancel any time.
1. What FreightBrain does
FreightBrain is a Chrome extension and hosted service for truck dispatchers. You select loads on the DAT One load board; our AI agent then telephones the brokers who posted them, identifies itself as an AI assistant, asks about the load, and shows you a live transcript and the details it extracts. You can take any call over, have the agent ask additional questions, or send the broker a bid email from your own connected Gmail account.
FreightBrain is not a load board, a freight broker, a carrier, or a marketplace, and it does not book freight. The agent never agrees to a rate, accepts a load, or commits you to anything; every decision is yours.
2. Accounts and access
Access is currently by invitation. You need an account to use FreightBrain, and you must give accurate information when you set it up and keep it current. You're responsible for everything done under your account and for keeping your sign-in credentials secure. Tell us promptly at support@freight-brain.com if you think someone else has used it. Accounts are for a single dispatcher; don't share one.
You must be at least 18 and able to form a binding contract, and you may not use FreightBrain if we've previously terminated your account.
3. Your responsibilities for the calls
You decide which brokers get called, and you are the party on whose behalf each call is made. You represent that:
- you have a genuine commercial reason to contact each broker about the load they posted, and you are using the contact details they published for that purpose;
- you will comply with the laws that apply to those calls, including the Telephone Consumer Protection Act and any state equivalents, and the call-recording consent laws of every state involved;
- if you turn call recording on, you are responsible for any notice or consent the law requires — several states require all parties to consent, and FreightBrain does not obtain that consent for you;
- the information you give the agent about your company, your authority, and your truck is accurate.
By default the agent tells the broker it's an AI assistant. That disclosure is on unless you ask us to turn it off for your account, in which case you take responsibility for whether doing so is lawful where you and the broker are. In either case the agent never claims to be a human being.
4. Acceptable use
Don't use FreightBrain to:
- call people who haven't published a load, or call anyone for marketing, surveys or solicitation rather than about a specific posting;
- call numbers you have no right to call, or keep calling a broker who has asked you to stop;
- mislead a broker about who you are, who you work for, or your authority to haul;
- scrape, resell or redistribute DAT's data or ours, or use FreightBrain to build a competing service;
- circumvent the limits in section 5, interfere with the service, or try to access other customers' data;
- break the law, infringe anyone's rights, or carry freight you aren't authorized and insured to carry.
You also need to keep to the terms of the third-party accounts FreightBrain touches — your DAT subscription and your Google account among them. We're not responsible if one of those providers restricts or closes your account.
5. Service limits
So that calls stay short and costs stay predictable, FreightBrain enforces: at most six calls at a time per dispatcher; a four-minute cap per call; a hang-up if hold music runs past 25 seconds; and an immediate hang-up on voicemail, with no message left. We may change these limits, and may apply fair-use limits on total call volume, with notice where the change is material.
6. Fees and billing
FreightBrain costs $99 per month per dispatcher, plus the phone and AI usage your calls consume, charged at our cost with no markup. Billing runs through Stripe; you enter your card on Stripe's pages and we never see or store the number.
- The subscription is charged monthly in advance and renews automatically until you cancel.
- Usage is metered as it happens — how long each phone leg was connected and how much AI processing the call took — and appears on your next invoice as "Phone usage, at cost" and "AI usage, at cost". Because you pay for calls after you've made them, usage you've already incurred is payable even if you cancel.
- Calls that ring out or reach voicemail still cost us money, so they're billed too.
- Prices are in US dollars and exclude any sales or similar taxes, which we'll add where we're required to collect them.
If a payment fails we may suspend your ability to launch calls until it's settled. We can change our prices with at least 30 days' notice by email; the new price applies from your next renewal, and you can cancel before it takes effect. Cancellation and refunds are covered in our Cancellation & Refund Policy, which is part of these terms.
7. No guarantee about load details
The load details on your dashboard are produced by automated speech recognition and an AI model listening to a phone call. They can be wrong, incomplete, or out of date — a misheard weight, a rate attached to the wrong load, a pickup time the broker later changed. Treat them as notes, not as a confirmed quote. Verify anything that matters with the broker directly before you dispatch a truck or accept a rate. We are not responsible for a load you booked, declined or priced on the basis of what the agent reported.
The same goes for broker screening: we check the FMCSA registry before dialing, which is a useful filter and not a guarantee that a broker is solvent, legitimate, or will pay you.
8. Your data
What we collect and who we share it with is set out in our Privacy Policy. In summary: we don't store call transcripts, we record calls only if you turn recording on and delete those recordings after 30 days, and we don't sell your information or use it for advertising. You keep ownership of the load and call data from your account; you grant us the licence we need to run the service for you, and permission to use aggregated, de-identified statistics to operate and improve it.
9. Third-party services
FreightBrain depends on services we don't control — telephony and voice providers, an AI model provider, Stripe, Google, the FMCSA registry, and the DAT One load board. If one of them is down, slow, or changes how it works, FreightBrain may be degraded or unavailable. DAT is not affiliated with us and does not endorse FreightBrain; your use of DAT remains governed by your own agreement with DAT.
10. Availability
We aim to keep FreightBrain running during US business hours and beyond, but we don't promise uninterrupted service and there's no uptime SLA on these terms. We may take it down for maintenance, and we'll try to do that outside dispatch hours.
11. Intellectual property
FreightBrain — the extension, the web app, the backend, the agent's prompts and the brand — belongs to us. You get a non-exclusive, non-transferable right to use it while your subscription is active, for your own dispatching. You may not copy, modify, reverse engineer or create derivative works from it except as the law allows. Feedback you send us is something we may use freely without obligation to you.
12. Disclaimers
FreightBrain is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the service will be error-free, that calls will connect, or that any load will be found, quoted or booked.
13. Limitation of liability
To the fullest extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost freight, deadhead miles, or lost business opportunity, even if warned they were possible. Our total liability for all claims relating to FreightBrain is capped at the fees you paid us in the three months before the claim arose.
Nothing here excludes liability that can't lawfully be excluded, including for fraud or willful misconduct.
14. Indemnity
You'll defend and indemnify us against claims, losses and costs (including reasonable legal fees) arising from your use of FreightBrain in breach of these terms, from the calls you launched, from your failure to meet call-recording or telemarketing law, or from a dispute between you and a broker, shipper or carrier.
15. Term, suspension and termination
These terms run while you have an account. You can stop using FreightBrain and cancel at any time — see the Cancellation & Refund Policy. We may suspend or terminate your account if you breach these terms, if your payment fails and stays unpaid, if we're required to by law, or if we reasonably believe your use puts brokers, our providers or us at risk. We'll give you notice where we can. On termination your right to use FreightBrain ends, fees and usage already incurred remain payable, and we delete your data on the schedule in the Privacy Policy.
16. Governing law and disputes
These terms are governed by the laws of the State of New York, United States, without regard to its conflict-of-laws rules. The state and federal courts located in New York have exclusive jurisdiction, and both parties consent to that venue. Each party waives any right to a jury trial and will bring claims only individually, not as part of a class action.
Before filing anything, please write to support@freight-brain.com — most problems are a misunderstanding about a bill, and we'd rather fix it than litigate it.
17. Changes to these terms
We may update these terms. We'll change the date at the top, and for material changes we'll tell dispatchers in the app or by email at least 30 days before they take effect. Carrying on using FreightBrain after that means you accept them; if you don't, cancel.
18. General
These terms, with the Privacy Policy and the Cancellation & Refund Policy, are the whole agreement between us about FreightBrain. If a provision is unenforceable, the rest stands. Not enforcing something isn't a waiver of it. You may not assign this agreement without our consent; we may assign it to an affiliate or an acquirer of the business. Neither party is liable for delays caused by events outside its reasonable control. We're independent contractors, not partners, and nothing here makes us your agent for any purpose other than placing the calls you ask us to place.
